3. Client Responsibilities
You agree to provide all necessary content, assets, and approvals in a timely manner. Delays in providing materials or feedback may result in project delays or additional costs.
4. Payments and Invoicing
- A deposit may be required before work begins.
- Payment terms will be clearly outlined in your invoice or service agreement.
- Late payments may incur a fee of 1.5% per month (18% annual) or the maximum permitted by law.
- Final deliverables may be withheld until full payment is received.
5. Intellectual Property
- All materials created by Black Dot Media remain our property until full payment is made.
- Upon full payment, ownership of final deliverables transfers to the client, excluding any third-party assets, fonts, or licenses.
- We reserve the right to showcase work in our portfolio unless otherwise agreed in writing.
6. Use of Third-Party Services
Some services may involve third-party providers (e.g., hosting, email, domains). We are not liable for the actions or performance of any third-party service.
7. Confidentiality
We respect your privacy and confidentiality. All proprietary or sensitive information shared with us will be kept secure and not shared without your written consent.
8. Limitation of Liability
We are not liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim related to our services is limited to the amount paid by you for those services.

Either party may terminate the relationship at any time in writing. Upon termination, you will be invoiced for all work completed up to the termination date.
10. Dispute Resolution
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be handled in accordance with the laws of the State of South Carolina.
11. Changes to Terms
